Welcome to Say Boba. These Terms & Conditions (“Terms”) govern your access to and use of the website https://sayboba.com (the “Website”), and any products, services, content, and features made available through it (collectively, the “Services”).

The Website and the brand “Say Boba” are owned and operated by Say Boba – Zaho Foods And Beverages Private Limited (CIN: U56102DL2024PTC437588, FSSAI License No.: 13326002000180), a company incorporated under the Companies Act, 2013, having its registered office at 169, Ground Floor, DDA Flats, Tigri, New Delhi, South Delhi – 110062 and Factory at 211, Site Ecotech 1 Extension, Greater Noida, Uttar Pradesh – 201310, India (“Say Boba”, “we”, “us”, or “our”).

PLEASE READ THESE TERMS CAREFULLY. By accessing, browsing, registering on, or placing an order through the Website, or by clicking “I Agree”, “Sign Up”, “Place Order”, or any similar button, you (“you”, “your”, “User”, or “Customer”) confirm that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Shipping Policy, and Refund Policy, each of which is incorporated into these Terms by reference. If you do not agree, please do not use the Website or our Services.

1. Definitions

• “Account” means a registered user account created on the Website.
• “Order” means a request placed by you to purchase Products through the Website.
• “Products” means the food and beverage products, including popping-boba fruit-juice drinks, and any related merchandise offered for sale on the Website.
• “Content” means all text, graphics, images, logos, designs, photographs, videos, audio, software, and other material available on the Website.
• “Applicable Law” means all laws, rules, and regulations of India applicable to the Website, the Products, and the Services, including the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020; the Information Technology Act, 2000 and rules thereunder; the Food Safety and Standards Act, 2006 (FSSAI) and regulations thereunder; the Legal Metrology Act, 2009; and applicable tax laws.

2. Eligibility & Capacity

The Services are intended only for persons who are competent to enter into a legally binding contract under the Indian Contract Act, 1872. By using the Services, you represent and warrant that you are at least 18 years of age and are not legally barred from entering into a contract.

If you are accessing the Website on behalf of a business, café, retailer, distributor, or other entity, you represent that you are authorised to bind that entity to these Terms.

We reserve the right to refuse access to the Website, refuse to accept or fulfil any Order, terminate Accounts, or cancel Orders at our sole discretion, including where we reasonably believe a User has violated these Terms or Applicable Law.

3. Account Registration & Security

Certain features may require you to create an Account. You agree to provide accurate, current, and complete information during registration and to keep it updated.

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify us immediately at care@sayboba.com of any unauthorized use of your Account or any breach of security. We will not be liable for any loss arising from your failure to safeguard your credentials.

You must not use another person’s Account, create an Account using false information, or create multiple Accounts to abuse promotions or offers.

4. Products, Descriptions & Availability

We make reasonable efforts to display Product descriptions, ingredients, images, pricing, and packaging details as accurately as possible. However, actual Products may vary slightly in colour, appearance, or presentation due to photography, screen settings, batch variation, and natural variation in food ingredients.

The volume stated for a Product (350 ml) is nominal and subject to standard manufacturing and filling tolerances permitted under the Legal Metrology Act, 2009.

All Products are subject to availability. We do not guarantee that any particular Product or flavour will always be in stock, and we reserve the right to add, modify, discontinue, or limit the availability of any Product at any time without prior notice. We may also limit the quantity of any Product purchased per person, household, or Order.

5. Food Safety, Ingredients, Allergens & Consumption

Say Boba Products are perishable food and beverage items manufactured and handled in accordance with the Food Safety and Standards Act, 2006 and applicable FSSAI regulations.

Allergen notice: Our Products contain fruit pulp, popping boba, sugars, flavourings, and other ingredients, and may contain or come into contact with allergens. You are responsible for reviewing the ingredient and allergen information on the Product packaging before consumption. If you have any allergy, intolerance, medical condition, are pregnant, nursing, or have dietary restrictions, consult a qualified medical professional before consuming our Products.

Our Products are not intended to diagnose, treat, cure, or prevent any disease, and are not a substitute for a balanced diet or medical advice. You must store, handle, and consume the Products in accordance with the storage instructions and “best before”/expiry date printed on the packaging. We are not responsible for any spoilage or harm caused by improper storage, handling, or consumption after delivery, or by consumption after the expiry/best-before date.

6. Pricing, Taxes & Payment

All prices are listed in Indian Rupees (₹) and are inclusive or exclusive of applicable taxes as indicated at checkout. Prices are subject to change without prior notice; the price applicable to your Order is the one displayed when you place and confirm the Order.

Goods and Services Tax (GST) and any other applicable levies will be charged in addition to the Product price where applicable. Shipping, handling, delivery, or convenience charges (if any) will be shown at checkout before you confirm your Order.

We accept payments through the methods displayed on the Website (which may include UPI, debit/credit cards, net banking, and wallets). All payments are processed through third-party payment gateways. We do not store your complete card or banking details. In the event of an obvious pricing error, we reserve the right to cancel the affected Order even after confirmation and refund any amount paid.

7. Orders & Order Acceptance

Your placement of an Order constitutes an offer to purchase the Products subject to these Terms. All Orders are subject to acceptance by us. An order confirmation by email, SMS, or on-screen acknowledgement confirms that we have received your Order; it does not constitute acceptance. A binding contract arises only when we dispatch the Products or expressly confirm acceptance.

We reserve the right, at our sole discretion, to refuse, cancel, or reduce any Order for any lawful reason, including unavailability, errors in pricing or Product information, suspected fraud, delivery limitations, or breach of these Terms. You are responsible for ensuring that the delivery address and details you provide are accurate and complete.

8. Shipping & Delivery

We will make reasonable efforts to deliver within the estimated timelines indicated at the time of Order; however, timelines are estimates only and are not guaranteed. Delivery is available only to serviceable locations determined by us and our logistics partners. Risk in and responsibility for the Products passes to you upon delivery. Detailed terms are set out in our Shipping Policy, which forms part of these Terms.

9. Cancellation, Returns & Refunds

Because our Products are perishable food and beverage items, they are generally not eligible for return or exchange once delivered, except as required by Applicable Law or as expressly set out in our Refund Policy. If you receive Products that are damaged, defective, incorrect, spoiled, or expired at the time of delivery, you must notify us at care@sayboba.com within the timeframe specified in our Refund Policy, with supporting details. Detailed cancellation and refund terms are set out in our Refund Policy, which forms part of these Terms.

10. Promotions, Coupons & Offers

We may offer discounts, coupon codes, promotional offers, referral benefits, or loyalty rewards. Each offer is subject to its own terms, eligibility, validity, and usage limits, which prevail in case of conflict with these Terms. Coupons are non-transferable, cannot be exchanged for cash, and cannot be combined unless expressly stated. We may modify, suspend, or withdraw any offer at any time, and cancel Orders or withhold benefits where an offer is misused or obtained fraudulently.

11. Wholesale & Partner Program

The Website invites cafés, kiosks, retailers, and distributors to partner with us. Submitting an enquiry through the “Partner with us” form does not create any binding agreement, distributorship, franchise, or supply arrangement. Any such relationship will be governed by a separate written agreement. Information you submit through the partner form is handled per our Privacy Policy.

12. Intellectual Property

All Content on the Website — including the “Say Boba” name, logo, brand elements, taglines (such as “Go on, Pop it.”), product names, packaging design, text, graphics, images, and software — is owned by or licensed to us and protected under applicable copyright, trademark, and other laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal, non-commercial use, subject to these Terms. You must not copy, reproduce, modify, distribute, publish, sell, license, or create derivative works from any Content without our prior written consent. Unauthorized use of any “Say Boba” trademark or branding is strictly prohibited.

13. User Conduct & Prohibited Uses

You agree to use the Website only for lawful purposes and in compliance with these Terms and Applicable Law. You must not:

• use the Website in any manner that could damage, disable, overburden, or impair it, or interfere with any other party’s use;
• attempt to gain unauthorized access to any part of the Website, other accounts, servers, or networks;
• introduce viruses, malware, or other harmful or disruptive code;
• use any robot, spider, scraper, or automated means to access or copy the Website or its Content without our written permission;
• post or transmit any content that is unlawful, defamatory, obscene, abusive, harassing, threatening, infringing, or otherwise objectionable;
• impersonate any person or entity or misrepresent your affiliation;
• engage in any fraudulent activity, including fraudulent transactions, abuse of refunds, or misuse of offers; or
• violate any Applicable Law or third-party rights.

We reserve the right to investigate and take appropriate action, including suspending or terminating your Account and reporting to law-enforcement authorities, for any violation.

14. User-Generated Content & Reviews

The Website may allow you to submit reviews, ratings, comments, feedback, photographs, or other content (“User Content”). You are solely responsible for your User Content and represent that you own or have the rights to it and that it does not infringe any third-party rights. By submitting User Content, you grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, transferable, and sub-licensable license to use, reproduce, modify, publish, and display it (including for marketing) in any media. We may review, moderate, edit, or remove any User Content at our discretion.

The Website may contain links to third-party websites, social-media platforms, payment gateways, or logistics partners not owned or controlled by us. We are not responsible for their content, accuracy, privacy practices, or availability. Use of third-party services is at your own risk and subject to their respective terms.

17. Disclaimers & Warranties

The Website and Services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, except as required by Applicable Law and except for any statutory consumer rights that cannot be excluded. We do not warrant that the Website will be uninterrupted, secure, or error-free. While we take reasonable care to ensure Product quality and food safety, we do not warrant that Products will meet your individual expectations regarding taste or suitability, beyond compliance with Applicable Law and food-safety standards.

18. Limitation of Liability

To the maximum extent permitted by Applicable Law, Say Boba and its directors, officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunity, arising out of your use of the Website, Services, or Products. Our total aggregate liability arising out of any Order or these Terms shall not exceed the amount actually paid by you for the specific Product(s) or Order giving rise to the claim. Nothing limits liability for death or personal injury caused by our proven negligence, for fraud, or for any liability that cannot be excluded under Applicable Law.

19. Indemnification

You agree to indemnify and hold harmless Say Boba and its directors, officers, employees, agents, and partners from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your violation of any Applicable Law or third-party rights; (c) your User Content; or (d) your misuse of the Website, Services, or Products.

20. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure results from causes beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, fire, flood, strikes, riots, war, terrorism, governmental actions, failures of telecommunications or internet networks, power outages, or disruptions in supply chains or logistics services.

21. Suspension & Termination

We may suspend, restrict, or terminate your access to the Website or your Account at any time, with or without notice, if we reasonably believe you have violated these Terms or Applicable Law, or to protect the security of the Website. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) shall survive.

22. Governing Law & Jurisdiction

These Terms and any dispute arising out of them, the Website, the Services, or the Products shall be governed by the laws of India. Subject to Section 23 (Dispute Resolution), the courts at Delhi / Gautam Buddh Nagar, Uttar Pradesh shall have exclusive jurisdiction over any disputes.

23. Dispute Resolution

In the event of any dispute, the parties shall first attempt to resolve it amicably through good-faith discussions by contacting our Grievance Officer (Section 24). If not resolved within thirty (30) days, it may be referred to arbitration by a sole arbitrator appointed under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Delhi, India, and the proceedings shall be conducted in English. The arbitral award shall be final and binding. Nothing in this clause prevents either party from seeking urgent interim relief, or affects any non-excludable rights you have under the Consumer Protection Act, 2019.

We will acknowledge receipt of complaints within forty-eight (48) hours and endeavour to resolve them within one (1) month from the date of receipt, in accordance with Applicable Law.

25. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. The “Last updated” date reflects the latest revision. Changes are effective upon posting on the Website, and your continued use constitutes acceptance of the revised Terms.

26. General Provisions

Severability: if any provision is held invalid, the remaining provisions continue in full force. Waiver: our failure to enforce any right is not a waiver of it. Assignment: you may not assign your rights without our consent; we may assign ours to any affiliate or successor. Entire Agreement: these Terms, together with the Privacy Policy, Shipping Policy, and Refund Policy, constitute the entire agreement between you and us. Headings are for convenience only.
